SECTION 5 — DIRECTORS

5.01 Election and Term

Subject to the articles, the members will elect the directors at the first meeting of members and
at each succeeding annual meeting at which an election of directors is required, and the
directors shall be elected to hold office for a term expiring not later than the close of the third
year following the election. A normal term is set at two (2) calendar years from the time a
director is elected.

5.02 Positions on the Board

Unless other members submit their candidacy for one of the above-mentioned positions on the
board, the following rotation will take place at the end of their terms:

The treasurer will assume the duties of the secretary pursuant to section 7.01 d;

The secretary will assume the duties of the vice-president pursuant to section 7.01 c;

The vice-president will assume the duties of the president pursuant to section 7.01 a;

The president will assume the duties of the past-president pursuant to section 7.01 b.

Any member of the board can submit its candidacy to retain his/her current position for an
additional term. However, a member cannot occupy the same position on the board for more
than two (2) consecutive terms. Any member can resubmit its candidacy to occupy a previously
occupied position after an interruption of no less than one (1) term.
